Risk Disclosure Policy
This policy explains the risks of using the Becoming Alpha platform and the ALPHA token. Becoming Alpha, Inc., a Delaware Public Benefit Corporation, operates Launch Intelligence Infrastructure; it is not a bank, broker-dealer, investment adviser, secondary-trading exchange, or custodian, and it gives no financial or investment advice. Digital assets carry significant risk: ALPHA's value may rise or fall, including to zero; lost keys are unrecoverable; and blockchain, smart-contract, regulatory, and settlement risks apply. Use the platform only if you understand and accept these risks, and use only funds you can afford to lose.
1. Introduction and scope
Becoming Alpha, Inc., a Delaware Public Benefit Corporation ("the Company," "we," "us," or "our"), operates Launch Intelligence Infrastructure for blockchain ventures. This Risk Disclosure applies to all users and describes the risks of using the platform, holding or using the ALPHA token, participating in the Professional Services marketplace, and engaging with ventures' token events. Read it with our Terms of Service, ALPHA Token Terms, Privacy Policy, and KYC / AML & Sanctions policy. Nothing here is financial, investment, legal, or tax advice.
2. Acknowledgement of risk
Blockchain and digital-asset activity carries significant risk. You should exercise caution and use only funds you can afford to lose. By using the Services, you acknowledge that you understand and accept the risks described here and that the Company does not guarantee any outcome.
3. Value and market risk
The market value of ALPHA and other digital assets can be highly volatile and may rise or fall, including to zero. Value may move on economic conditions, sentiment, liquidity, regulation, or events outside our control. ALPHA has no intrinsic backing; where a market exists, it is on approved third-party venues and is not operated by Becoming Alpha. We do not promise or imply any return, yield, or appreciation, and past or hypothetical figures are not indicative of future value.
4. Non-custodial and key-loss risk
The platform is non-custodial: you control your wallets and private keys. If you lose your private key, seed phrase, or credentials, your assets may be lost permanently — we cannot recover them or reverse blockchain transactions. Secure your keys (for example, with hardware wallets and offline backups), never share them, and verify every transaction detail; transfers to a wrong address are generally irreversible.
5. Technology and smart-contract risk
The platform relies on blockchain networks and smart contracts, which may contain bugs, vulnerabilities, or be exploited, potentially causing loss. Audits reduce but do not eliminate this risk, and deployed contracts may be immutable or upgrade through complex processes. Token and bridge contracts are currently exercised on public test networks; testnet is not mainnet. Networks may experience outages, forks, congestion, reorganizations, or consensus attacks that affect availability or transactions — these are outside our control.
6. Cross-chain and bridge risk
ALPHA moves across networks via an omnichain burn-and-mint model. Cross-chain bridges are among the highest-risk components in the industry and may suffer smart-contract bugs, exploits, or failures resulting in loss. When assets move across chains, you accept the risks of the mechanism used.
7. Settlement, conversion, and on-ramp risk
ALPHA is the primary and exclusive settlement medium; funding currencies you connect (crypto or fiat) are converted to ALPHA for payment, potentially via third-party providers. Conversion and on-ramp services carry exchange-rate, execution, availability, provider, and compliance risks, and are subject to identity verification and jurisdictional limits.
8. Staking and incentive-credit risk
Where offered, staking is a participation mechanism that issues in-platform Incentive Credits, not a yield or interest product. We do not promise any return, APY/APR, or reward; you may receive nothing. Staked ALPHA is locked and illiquid during the lock period, and its value may fall while locked. Incentive Credits are non-transferable, matched 1:1 with ALPHA, have no guaranteed value, and depend entirely on the platform's continued operation and available use cases; if the platform changes or becomes unavailable, Incentive Credits may lose value. Smart-contract failure could affect staked ALPHA or credits.
9. Regulatory and token-classification risk
The regulatory environment for digital assets is evolving and varies by jurisdiction. New laws, restrictions, or enforcement may affect your ability to use the platform or hold ALPHA. Regulators may reclassify a token (for example, treat a token as a security), which could restrict transfer or use, impose registration or tax obligations, or reduce value. We cannot predict or control regulatory outcomes and do not guarantee any token's classification. Any offering or sale of ALPHA is made under securities-law exemptions to eligible participants on separate terms; participation in a venture's token event is subject to that venture's own offering terms and compliance — the venture is the issuer.
10. Professional Services marketplace risk
In the Professional Services marketplace, clients engage providers directly, settling in ALPHA. Becoming Alpha is a venue, not a party, and does not guarantee any provider's performance, quality, qualifications, or results; vetting has limits. Counterparties may fail to perform. Verify a provider's reputation and terms before engaging, use any provided tools, and understand that disputes are primarily between the users; refund eligibility is governed by the Refund & Return policy and the engagement terms.
11. Venture participation risk
Where you participate in a venture's token event, the venture is the issuer and is solely responsible for its offering, disclosures, and compliance. Ventures may fail, be delayed, face regulatory action, or misrepresent themselves despite screening; their tokens may be illiquid, decline in value, or become worthless. Becoming Alpha does not endorse, guarantee, or act as broker, exchange, or custodian for any venture or its tokens, and any diligence or screening is not a recommendation. Conduct your own diligence and never commit more than you can afford to lose.
12. Cybersecurity and data risk
Digital platforms are targets for cyberattacks; phishing, malware, or breaches could compromise accounts or data despite our controls. We use security measures and maintain an incident-response capability, and will notify affected individuals and authorities where required by law (see the Data-Breach Notification and Security policies). You should also protect your own account and devices.
13. Liquidity and no guarantee of a market
We do not guarantee that you will be able to acquire, use, or dispose of ALPHA or any token at any particular time, price, or volume, or that any third-party venue will list or maintain a market for it. Markets may be thin, halted, or unavailable, and large transactions may move prices. You may be unable to exit a position or recover value.
14. No advice; your responsibilities
Becoming Alpha does not provide investment, financial, tax, or legal advice, is not a fiduciary, and owes no fiduciary duty. Any information, analytics, or AI output on the platform is for information only, may be incomplete or inaccurate, and should not be your sole basis for a decision. You are responsible for your own decisions, for complying with the laws of your jurisdiction (including tax), for completing verification accurately, for securing your account and keys, and for conducting your own diligence. Consult qualified professional advisers.
